1. Agreement to Terms
By accessing our website or using our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These terms apply to all visitors, clients and users of OpenLane Digital's website and CRM platform.
2. Services
OpenLane Digital provides the following services to estate agencies:
- Facebook lead generation campaign management
- A white-label CRM platform for managing leads, clients, pipeline, bookings and communications
- Automated follow-up and messaging tools
- Ongoing campaign optimisation and support
The specific services provided to each client are agreed in a separate Service Agreement.
3. Exclusive Territory
OpenLane Digital operates on an exclusive territory model — we work with one agency per defined geographic area. Territory exclusivity is confirmed in writing at the point of agreement and remains in place for the duration of the contract.
We reserve the right to define and adjust territory boundaries at our discretion prior to agreement being signed.
4. Payment Terms
- Monthly retainer fees are invoiced in advance and due within 7 days of invoice date.
- Lead costs are charged at cost price with no markup and invoiced monthly in arrears.
- Late payment may result in suspension of services.
- All prices are exclusive of VAT where applicable.
5. CRM Platform
Access to the OpenLane Digital CRM platform is provided as part of your service agreement. By using the platform, you agree to:
- Keep your login credentials secure and not share them with unauthorised parties
- Use the platform only for lawful business purposes
- Not attempt to reverse engineer, copy or resell the platform
- Comply with all applicable data protection legislation when entering client data
- Notify us immediately of any suspected security breach
6. Data Ownership
All client data you enter into the CRM platform remains your property. We act as a data processor on your behalf. Upon termination of services, we will provide a data export within 30 days of request and delete your data within 90 days of termination.
7. Intellectual Property
The OpenLane Digital brand, website, CRM platform, and all associated materials are our intellectual property. You may not copy, reproduce or distribute any of our materials without prior written consent.
Lead data generated through your campaigns belongs to you. We do not share or sell your lead data to third parties.
8. Cancellation
- Services operate on a rolling monthly basis unless a fixed term is agreed in writing.
- 30 days written notice is required to cancel services.
- No refunds are issued for any portion of the current billing period.
- Upon cancellation, CRM access will continue until the end of the paid period.
9. Limitation of Liability
OpenLane Digital provides lead generation and CRM services in good faith. We do not guarantee specific lead volumes, conversion rates or revenue outcomes, as these depend on factors outside our control including market conditions, agency response times and follow-up processes.
Our total liability to you for any claim shall not exceed the total fees paid to us in the 3 months preceding the claim.
We are not liable for any indirect, consequential or loss of profit damages.
10. Acceptable Use
You agree not to use our services or platform to:
- Engage in any unlawful activity
- Send spam or unsolicited communications
- Harass, abuse or harm any individual
- Violate any third party's rights
- Interfere with or disrupt our platform or servers
Violation of acceptable use terms may result in immediate termination of services without refund.
11. Changes to Services
We reserve the right to modify, update or discontinue any part of our services with reasonable notice. For material changes, we will provide at least 30 days notice.
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
